Improving Affordability Expected to Lift Activity

Transaction times remain extended, but easing mortgage rates and improving affordability are expected to boost activity throughout the year.

Intensifying Competition Drives Acquisition Appeal

Intensifying Competition Drives Acquisition Appeal

Competition among agents is intensifying, making established agencies with proven client bases and management systems highly attractive for acquisition.
Whether you’re selling to capitalize on current values or buying to scale in a consolidating market, partnering with The Acquisitions Group positions you ahead of the curve.

Maximise Your Exit Value

Selling an estate or lettings agency requires careful preparation to highlight strengths like recurring rental income, low vacancy rates, compliant operations, and loyal client relationships.
Achieve accurate, market-leading valuations that reflect your portfolio’s true worth (e.g., management fees, tenant data, and goodwill).
Market discreetly to qualified buyers via our unique database and innovative methods (targeted outreach, personalized video presentations, and confidential campaigns).
Navigate the full process—from valuation and negotiations to due diligence, lease transfers, TUPE staff arrangements, and completion—while protecting your operations and reputation.
Secure premium outcomes, with past clients often achieving sales significantly above initial expectations.

Discover Prime Acquisition Opportunities

Acquiring an established estate or lettings agency offers faster growth than starting from scratch-immediate revenue from management contracts, existing infrastructure, and market presence.
Access off-market and exclusive opportunities through our extensive database of vetted sellers.
Evaluate targets thoroughly (financial health, compliance, tenant retention, and growth potential).
Negotiate favorable terms, structure deals efficiently, and handle post-acquisition integration (including staff TUPE and premises transitions).
Align acquisitions with your strategy, whether building a regional network or diversifying into sales and lettings.

Our Proven Process

Estate & Lettings Deals

We guide you through every milestone with deeper support than typical brokers:
Receive sales opportunities

We offer a directory wherein sellers can register their opportunity, we will then contact them and confirm the details, under a non-disclosure agreement. We will then agree the terms of business and proceed to match your opportunity with potential buyers. In any transaction we will only represent the seller.

Register buyer and sellers

We hold a directory of parties who have registered with us. These are treated in the strictest confidentiality. This information ensures the most suitable buyers and sellers are readily introduced to each other. Our CRM and AI software allows us to analyse opportunities and look for the best possible outcome.

Evaluate opportunities

The experience of our transaction teams allows us to apply the latest evaluation techniques applicable to that market sector. This process is the basis upon which we deliver value to our sellers.

Establish purchasers

We offer a free of charge directory where potential purchasers can register with us. Once we have an understanding of the profile of the business you are interested in we will firstly match any businesses with potential on our database, if there are no appropriate businesses we will research the entire country to find a suitable opportunity, at no charge.

Evaluate purchaser

Part of our due diligence is to ensure that any potential buyer has a profile which is likely
to result in a successful outcome. To this end, we will discuss any opportunities in detail, under the relevant Non-Disclosure Agreement, so we may have sufficient confidence in the deal proceeding to completion.

Introduce parties

We have a considerable directory of potential buyers who we plan to match to suitable sellers. We also have a research process which seeks out potential buyers if we do not have a prospect who we believe may result in a successful transaction. Using these tools we plan to introduce any sellers to the optimum choice available to us.

Negotiation

Our team will negotiate the best possible outcome for a deal. The elements of a successful deal can include best value, cultural similarities, timescale acceptability, funding availability, business continuity, staff structure, financial planning, experience & personalities. These factors are different depending on the particular deal and any considerations that emerge during discussions. The most successful deals show a degree of equity for both parties, we will strive to deliver this.

Offer and acceptance

Once negotiations have taken place and terms are agreed in principle, we will prepare an offer, if we are only acting for a buyer, or invite a buyer to submit their offer if we are acting for a seller. We cannot act for both parties. Once each party understands the offer we will agree a final version and accept written agreement to proceed.

Heads of Terms

Heads of Terms (or “HoTs”) are an important milestone. This document is usually prepared by the buyer setting basic terms for which a formal sales agreement can be drawn up (usually by the buyer’s legal representative). The HoTs are agreed between buyer & seller and presented to the legal team.

The Acquisitions Group can draw these up if required as part of their services to our clients.

Establish financial structure

Once offers are accepted, we will request details of the financial arrangements entered into by the buyer. This may include his lending source and proof of an offer from the lender or proof of funds from their own resources. Our process requires that this is confirmed so fees are not expended without evidence of a successful outcome financially.

Appoint legal teams

A legal practice can only represent one party; therefore, each party will need to select their own representatives. We advise that any firm selected should have experience in commercial transactions in the relevant market sector.

The Acquisitions Group can recommend legal firms if required.

Legal and financial due diligence

Due Diligence is an important stage in any commercial transaction. It is carried out by the purchaser. Legal Due Diligence is carried out by the selected legal representatives and Financial Due Diligence should be carried out by the buyer’s accountants. The purpose of these steps is to establish the validity of the legal structure & financial status of the business for sale.

Compliance due diligence

As some sectors are regulated by government it is essential that checks are carried out to ensure that the business meets the necessary industry standards. In many cases there are financial implications for the buyer or seller if the business is not compliant This can impact the ability to sell, the price offered by a purchaser or future profitability of the business. To assess these standards, an audit is carried out.

Premises ownership

It is common for business to have trading premises. Any sales particulars need to state how these premises are occupied, usually either under a commercial lease or freehold ownership. A buyer will need to understand what the terms of occupation will be going forward if he is to acquire the business.

We can review these circumstances and advise on the requisite way forward in order to allow occupation by the new owners.

TUPE process

If staff are to transfer with a business sold through an asset sale, then it is likely there will be regulations to adhere to under the Transfer of Undertakings (Protection of Employment) regulations 2006 better known as TUPE.

A process of transition is required which has responsibilities on buyer and seller.

As this is a legal requirement, failure to adhere the prescribed process can result in heavy financial penalties and disruption.

TUPE team appointment

Because TUPE is a legal process, it is recommended that a professional HR adviser is appointed to assist with this process. We are able to make recommendations.

Depending on the number of employees to be transferred it may be necessary to appoint a representative for these members of staff.

Transition process

In any business acquisition, it is important that there is a team controlling the process. The Acquisitions Group can provide reassurance that we will provide clarity & work towards a clear outcome.

There are many sub-processes to those already described which need to be included so that the business can complete on time, on budget and with assurance that it can continue to trade successfully.

Completion

After the journey to bring a transaction to a conclusion, it can be the all too easy to let the completion of the sale delay for what seem to be valid reasons. Completion in itself can have many complex elements practical, legal and financial. It can involve all advisers in these disciplines.

The Acquisitions Group will strive to put all of the elements in place to ensure completion is achieved to all parties expectations.

Estates & Lettings Agency Sale Questions

UK-Focused

These focus on the practical realities of selling a UK estate or lettings agency—addressing accurate valuations, discreet marketing, lease/branch implications, compliance requirements, tax considerations, and how to position your agency for the strongest possible offers.

state and lettings agencies are valued on recurring income and profitability. Lettings-heavy ones focus on management fees; mixed agencies blend methods.

Common valuation methods (March 2026)

  1. EBITDA multiple – 3–7× adjusted maintainable profit (higher for strong brands, low arrears, high renewals).
  2. Price per managed property – £150–£350+ per unit (location, fee %, renewal rates, arrears drive the range).
  3. Revenue multiple – 0.8–2× annual management fees (common blended approach).
  4. Goodwill + assets – Brand value, database, software, office fit-out.

Pro tip In 2026, stable portfolios with high renewals (>90%) and low voids command premiums; high arrears or compliance gaps reduce value. Get a specialist valuation – DIY misses adjustments.

Want a realistic valuation for your agency? Book your free, confidential estate/lettings agency valuation & sellability MOT. We’ll give a current market range and action plan to increase value.

There’s no single “perfect” time, but 2026 conditions favour sales: steady rental demand, modest rent growth, high home supply (11-year highs), and improving buyer access from lower rates.

When to consider selling now

  1. Market momentum – Rental demand remains strong, renewals solid; lettings-focused agencies resilient.
  2. Tax window – BADR CGT rate 14% until 5 April 2026 (rises to 18% after) – completing before saves significantly.
  3. Personal readiness – Sell while performance strong (low voids, high renewals).
  4. Early year advantage – January–March listings see strong buyer interest before spring rush.
  5. Regulatory prep – Act before major changes (e.g. Renters’ Rights Act impacts) add uncertainty.

Pro tip Prepare 12–24 months early – optimise portfolio and compliance for premium prices.

Ready to assess timing for your business? Book your free, confidential lettings agency valuation & sellability MOT. We’ll give honest advice on market timing and value.

Discreet sales keep operations smooth and protect value – use confidential processes.

Steps to sell discreetly

  1. Confidential marketing – Teaser profiles (no name/location), NDAs for buyers.
  2. Out-of-hours viewings – Schedule discreetly, limit access.
  3. Staff communication – Inform only when deal advances; plan retention incentives.
  4. Client protection – No landlord/tenant contact until completion; positive messaging post-sale.
  5. Specialist broker – Handles discreet outreach, minimises leaks.

Pro tip Strong performance during sale reassures buyers – keep business running normally.

Worried about disruption? Book your free agency consultation – we’ll plan a confidential, low-disruption process.

Organised documents speed due diligence and build buyer confidence.
