From Opportunity to Completion
Receive sales opportunities
We offer a directory wherein sellers can register their opportunity, we will then contact them and confirm the details, under a non-disclosure agreement. We will then agree the terms of business and proceed to match your opportunity with potential buyers. In any transaction we will only represent the seller.
Register buyer and sellers
We hold a directory of parties who have registered with us. These are treated in the strictest confidentiality. This information ensures the most suitable buyers and sellers are readily introduced to each other. Our CRM and AI software allows us to analyse opportunities and look for the best possible outcome.
Evaluate opportunities
The experience of our transaction teams allows us to apply the latest evaluation techniques applicable to that market sector. This process is the basis upon which we deliver value to our sellers.
Establish purchasers
We offer a free of charge directory where potential purchasers can register with us. Once we have an understanding of the profile of the business you are interested in we will firstly match any businesses with potential on our database, if there are no appropriate businesses we will research the entire country to find a suitable opportunity, at no charge.
Evaluate purchaser
Part of our due diligence is to ensure that any potential buyer has a profile which is likely
to result in a successful outcome. To this end, we will discuss any opportunities in detail, under the relevant Non-Disclosure Agreement, so we may have sufficient confidence in the deal proceeding to completion.
Introduce parties
We have a considerable directory of potential buyers who we plan to match to suitable sellers. We also have a research process which seeks out potential buyers if we do not have a prospect who we believe may result in a successful transaction. Using these tools we plan to introduce any sellers to the optimum choice available to us.
Negotiation
Our team will negotiate the best possible outcome for a deal. The elements of a successful deal can include best value, cultural similarities, timescale acceptability, funding availability, business continuity, staff structure, financial planning, experience & personalities. These factors are different depending on the particular deal and any considerations that emerge during discussions. The most successful deals show a degree of equity for both parties, we will strive to deliver this.
Offer and acceptance
Once negotiations have taken place and terms are agreed in principle, we will prepare an offer, if we are only acting for a buyer, or invite a buyer to submit their offer if we are acting for a seller. We cannot act for both parties. Once each party understands the offer we will agree a final version and accept written agreement to proceed.
Heads of Terms
Heads of Terms (or “HoTs”) are an important milestone. This document is usually prepared by the buyer setting basic terms for which a formal sales agreement can be drawn up (usually by the buyer’s legal representative). The HoTs are agreed between buyer & seller and presented to the legal team.
The Acquisitions Group can draw these up if required as part of their services to our clients.
Establish financial structure
Once offers are accepted, we will request details of the financial arrangements entered into by the buyer. This may include his lending source and proof of an offer from the lender or proof of funds from their own resources. Our process requires that this is confirmed so fees are not expended without evidence of a successful outcome financially.
Appoint legal teams
A legal practice can only represent one party; therefore, each party will need to select their own representatives. We advise that any firm selected should have experience in commercial transactions in the relevant market sector.
The Acquisitions Group can recommend legal firms if required.
Legal and financial due diligence
Due Diligence is an important stage in any commercial transaction. It is carried out by the purchaser. Legal Due Diligence is carried out by the selected legal representatives and Financial Due Diligence should be carried out by the buyer’s accountants. The purpose of these steps is to establish the validity of the legal structure & financial status of the business for sale.
Compliance due diligence
As some sectors are regulated by government it is essential that checks are carried out to ensure that the business meets the necessary industry standards. In many cases there are financial implications for the buyer or seller if the business is not compliant This can impact the ability to sell, the price offered by a purchaser or future profitability of the business. To assess these standards, an audit is carried out.
Premises ownership
It is common for business to have trading premises. Any sales particulars need to state how these premises are occupied, usually either under a commercial lease or freehold ownership. A buyer will need to understand what the terms of occupation will be going forward if he is to acquire the business.
We can review these circumstances and advise on the requisite way forward in order to allow occupation by the new owners.
TUPE process
If staff are to transfer with a business sold through an asset sale, then it is likely there will be regulations to adhere to under the Transfer of Undertakings (Protection of Employment) regulations 2006 better known as TUPE.
A process of transition is required which has responsibilities on buyer and seller.
As this is a legal requirement, failure to adhere the prescribed process can result in heavy financial penalties and disruption.
TUPE team appointment
Because TUPE is a legal process, it is recommended that a professional HR adviser is appointed to assist with this process. We are able to make recommendations.
Depending on the number of employees to be transferred it may be necessary to appoint a representative for these members of staff.
Transition process
In any business acquisition, it is important that there is a team controlling the process. The Acquisitions Group can provide reassurance that we will provide clarity & work towards a clear outcome.
There are many sub-processes to those already described which need to be included so that the business can complete on time, on budget and with assurance that it can continue to trade successfully.
Completion
After the journey to bring a transaction to a conclusion, it can be the all too easy to let the completion of the sale delay for what seem to be valid reasons. Completion in itself can have many complex elements practical, legal and financial. It can involve all advisers in these disciplines.
